Terms of Service

Welcome to FireLead ("FireLead," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of the FireLead platform, including our website, dashboard, AI messaging features, chat widget, SMS and messaging integrations, scheduling system, CRM, invoicing, and any related products or services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use FireLead.

1. Eligibility

You must be:

• At least 18 years old
• Authorized to enter binding agreements on behalf of your business
• Using the Service for lawful purposes

FireLead is intended for contractors and service-based businesses operating in compliance with local, state, and federal laws.

2. Beta Service

FireLead is currently in beta. This means:

• Features may change, be added, or be removed without notice
• The platform may experience downtime, bugs, or unexpected behavior
• We do not guarantee uptime, availability, or uninterrupted service during the beta period
• We welcome your feedback and will work to resolve issues promptly

3. Your Account

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Ensuring the accuracy of your account and business information
• All activity that occurs under your account
• Notifying us immediately if you believe your account has been compromised

We reserve the right to suspend or terminate accounts that appear to be compromised or used in violation of these Terms.

4. Use of the Service

You agree NOT to:

• Use FireLead for any illegal, fraudulent, or deceptive purpose
• Send spam, unsolicited marketing messages, or abusive content through the platform
• Upload harmful, malicious, or unauthorized code
• Attempt to interfere with system integrity, security, or performance
• Reverse engineer, copy, or create derivative works of the FireLead platform
• Access another user's account or data without authorization
• Use the Service to harass, threaten, or harm any individual
• Circumvent any security measures, rate limits, or access controls

Violation of any of the above may result in immediate suspension or termination of your account without refund.

5. AI Messaging and Automations

FireLead includes automated features such as:

• AI-generated responses to customer messages
• AI-powered appointment booking and lead qualification
• SMS appointment confirmations, reminders, and notifications
• Automated review request emails
• Responses via Google Business Messages, Facebook Messenger, and Instagram

6. SMS and Text Messaging

FireLead sends text messages to your customers on your behalf. By using our SMS features, you represent and warrant that:

• Your customers have provided their phone number and consented to receive text messages during the booking or inquiry process
• You comply with all applicable messaging laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state or local messaging laws
• You will not use FireLead to send unsolicited marketing messages, spam, or messages to individuals who have not consented
• You will honor all opt-out requests promptly — customers may reply STOP to any message to unsubscribe
• You understand that message delivery depends on third-party carriers and is not guaranteed

FireLead may suspend or terminate SMS capabilities for any account suspected of violating messaging regulations or generating excessive opt-out or complaint rates.

7. Customer Data and Privacy

You are responsible for:

• Ensuring your customers are informed about how their data is collected and used
• Complying with all applicable privacy laws, including CCPA and any state-specific regulations
• Obtaining proper consent before collecting and using customer data through the platform

FireLead processes customer data on your behalf to provide the Service. Our handling of this data is described in our Privacy Policy.

You retain ownership of your customer data. We do not sell, rent, or share your customer data with third parties for their own purposes.

8. Integrations

FireLead integrates with third-party services including but not limited to:

• Twilio (SMS messaging)
• Google Calendar and Google Business Messages
• Meta (Facebook Messenger, Instagram)
• Stripe (payment processing)
• Resend (email delivery)

These integrations may require API keys, business verification, or platform-specific approvals. You are responsible for:

• Maintaining compliance with each third-party platform's terms of service
• Providing accurate information during verification processes
• Keeping integration credentials secure

FireLead is not responsible for downtime, errors, policy changes, or service disruptions caused by third-party platforms.

9. Fees and Billing

Paid plans renew automatically unless cancelled before the renewal date.

You authorize us to charge your payment method on file for:

• Monthly or annual subscription fees
• Any add-on services you enable

Prices may change with 30 days' notice. All fees are non-refundable unless required by applicable law. If payment fails, we may suspend access to paid features until the balance is resolved.

10. Termination

You may cancel your subscription at any time through your dashboard.

We may suspend or terminate your account if you:

• Violate these Terms
• Abuse the Service or its features
• Pose a risk to system stability or security
• Use the platform for illegal purposes
• Generate excessive complaints, opt-outs, or chargebacks

Upon termination:

• Your access to the dashboard and features will be revoked
• Your data will be retained for 30 days to allow for export, after which it may be deleted
• You may request a data export by contacting support@firelead.ai before deletion

11. Data Ownership and Intellectual Property

• You own your business data and customer records
• FireLead owns the platform, software, AI models, algorithms, code, designs, and trademarks
• You grant FireLead a limited, non-exclusive license to process your data solely to provide and improve the Service
• You may not use FireLead's name, logo, or branding without written permission
• Feedback, suggestions, or feature requests you provide may be used by FireLead without obligation to you

12. Indemnification

You agree to indemnify, defend, and hold harmless FireLead, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation, including messaging and privacy laws
• Any claim by a third party (including your customers) related to messages sent, data collected, or services provided through the platform
• Your failure to obtain proper consent from your customers

13. Limitation of Liability

To the fullest extent permitted by law, FireLead shall not be liable for:

• Lost profits, revenue, or business opportunities
• Missed leads, appointments, or customer communications
• AI errors, misclassifications, or incorrect responses
• Third-party integration failures or outages
• System downtime or service interruptions
• Data loss or corruption
• Indirect, incidental, consequential, special, or punitive damages

In no event shall FireLead's total liability exceed the amount you paid to FireLead in the 90 days preceding the event giving rise to the claim.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

We do not warrant or guarantee:

• Uninterrupted or error-free service
• Accuracy of AI-generated responses or scheduling
• Delivery of SMS messages or emails
• Compatibility with all devices, browsers, or third-party platforms
• That the Service will meet your specific business requirements

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

• You agree to first attempt to resolve any dispute informally by contacting support@firelead.ai
• If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration in the State of Colorado
• You waive any right to participate in a class action lawsuit or class-wide arbitration against FireLead

16. Modifications

We may update these Terms at any time. If changes are material, we will notify you by email or dashboard notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any legal proceedings shall be conducted in the courts of the State of Colorado.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FireLead regarding the use of the Service and supersede all prior agreements or understandings.
